Job Description:
OverviewThe Associate General Counsel provides hands-on legal
counsel and strategic advice to all levels of staff. Assists in
protecting ACOG's legal interests and maintaining its operations
within the scope established by law. Identifies and analyzes legal
issues, drafts key documents, presents clear recommendations to
staff, and assures legal compliance. Assists with mentoring and
training of attorneys in the legal department.Cover Letter

commute to ACOG's office located in Washington,
D.C.Responsibilities--- Provide analysis, advice, and legal counsel
to staff regarding legal aspects of ACOG's operations and programs.
Work closely with personnel of every ACOG department to identify
and mitigate risk for the organization while supporting ACOG's
mission-driven business strategies.--- Advise the College on laws
and regulations concerning tax-exempt organizations, corporate
governance, privacy, data use, artificial intelligence,
intellectual property, conflict of interest and labor law/human
resources, among other topics.--- Review drafts of College
publications and communications as requested or required.--- Acts
as a senior strategic partner with departments and programs across
the organization to provide legal advice on the structure and
operation of projects and initiatives.--- Negotiate, draft, and/or
review contracts with a wide range of complexity, including, but
not limited to commercial leases, grant agreements,
collaborative-funding agreements, government contracts, subgrant
agreements, construction contracts, intellectual property licenses,
publishing contracts, information technology contracts, consultant
agreements, and HIPAA business associate agreements.--- Assist in
the preparation of amicus curiae briefs in legal cases of
importance to ACOG members and their patients, including cases
involving restrictions on access to reproductive healthcare, as
requested.--- Serve as a legal resource for staff, districts and
sections, and fellows. Keep apprised of legal developments
affecting the organization and advise ACOG on these issues.---
Provide analysis, counsel and advice by interpreting laws,
regulations, court decisions, and rules affecting the work of ACOG
and the provision of reproductive healthcare.--- Act as staff
liaison to Board committees, including the Committee on Governance
and Bylaws Committee.--- Represent ACOG in litigation, negotiations
and/or investigations before administrative agencies and state and
federal courts, including in connection third-party subpoenas.
Coordinate with internal and external counsel to address issues
requiring specialized legal input. Supervise outside counsel
engaged in special projects for the organization.--- Perform other
duties as assigned.Qualifications--- Juris Doctor (JD) degree from
an ABA-accredited law school.--- Actively licensed and member in
good standing of the District of Columbia Bar.--- A minimum of 12
years of experience required.--- Experience in health law or
related area is preferred.--- Ability to handle a wide range of
legal issues.--- Excellent verbal and written communications
skills.--- Excellent interpersonal skills.--- Excellent
organizational skills and attention to detail.--- Proficient with
Microsoft Office Suite or other related software.About ACOGHome to

base salary for this position is $145,000 - $170,000 per year,
commensurate with experience and qualifications. In addition, ACOG
